1. These are the terms and conditions – the terms – rule every contract that is made between Charlotte Design fro the supply of goods and services to any person, firm, organization or company,
referred to as clients.
2. The terms exist over any written terms and conditions of the client.
3. If there will be any variation or slight changes to the terms, it must be agreed upon in writing by a director of Charlotte Design.
4. All signed contracts between clients and Charlotte Design will be governed by English Law and both parties must agree to submit to the exclusive jurisdiction of the English courts.
2. Price and payment
1. Payment will be given by the client to Charlotte Design, the fixed fee or current price list charge, whichever is agreed upon at the time of instruction.
2. If feedback is not received from clients to progress the clients project, in 28 days Charlotte Design will invoice them.
3. Invoices from Charlotte design to the client for the supply of good or services should be paid in full upon receipt of invoice by cheque.
4. The invoices coming from Charlotte Design to the client for Charlotte design including services should be paid in full upon receipt of invoice by Paypal, the final files will not be released
until Paypal has confirmed settlement.
9. If the client does not have a credit account with Charlotte design, goods or services must be paid upon collection/delivery of the completed job. Payment can be made by
cheque or cash.
10. Charlotte Design reserves the right, without disclosing a reason, to demand payment for work on collection at anytime.
11. The client will pay Charlotte Design of any expenses incurred by in connection with the recovery of outstanding dues, including legal costs on an indemnity basis.
3. Ordering
1. Work orders must be given in writing to Charlotte design by the client.
2. Not with standing clause 3.1, if Charlotte Design accepts verbal orders from the client Charlotte Design will not be held responsible for any mistakes, made by either party that might arise
from that verbal order.
3. Charlotte Design does reserve the right to refuse to accepts any order.
4. Quotations
1. Quotations are valid fro 28 days from the date of quotation
2. If there will be changes in the final order(s) of the client from the original specifications made for the quotation, Charlotte Design reserves the right to vary the quotation.
5. Turnaround Times
1. Quoted turnaround times which were quoted in the price list and web site are normal target times only and Charlotte design accepts no liability for failure to meet these turnaround times, but
best endeavors will be used.
6. Inage Sizes
1. Transparencies and/or negatives do not have the exact proportions as certain paper sizes, if that will be the case, the client must inform Charlotte Design if they would be requiring the full
image area or if image should be cropped to fill the desired print size. Should there be no instruction given by the client, Charlotte Design will print full frame.
7. Print Finish
1. Charlotte Design will decide, at its sole discretion, which print finish to use, be it semi-matt or gloss, unless stated by the client.
8. ADSL Data Transmission
1. For untransmissable ADSL data, Charlotte Design will not accept responsibility for loss earnings to the client. The client has the sole responsibility to ensure receiving end of the ADSL
transmission has an active compatible computer, the client also has the sole responsibility to ensure the correct ADSL address is given to Charlotte Design.
9. Color Balancing
1. If requested by the client, Charlotte Design will scan images to a color balance provided by the client by way of reference prints or polaroids.
2. Charlotte Design will scan and/or print images using its own judgment for color balancing, if no such request or reference material is provided by the client.
10. Uncollected Work
1. Charlotte Design reserves the right to dispose of materials, after 12 months, if any items of work including prints and original files, belonging to the client.
11. Copyright and Moral Rights
1. For the purposes of fulfilling the clients’ instruction, Charlotte Design claims no copyright in material submitted to them.
2. The client warrants that the client owns or controls all rights, has obtained all copyright, or has permissions, consents and waivers that as are now and hereafter required for all copying,
processing, scanning, printing and manipulation to be undertaken by Charlotte Design.
3. The clients also warrant that no copyright or moral rights will be infringed by Charlotte Design carrying out the requested work.
4. The client agrees to indemnify Charlotte design against all losses, damages, claims or expenses which Charlotte Design may incur by virtue of any breach of the above warranties.
12. Liability
1. For concerns on details of an invoice within 7 days of date of the invoice, the client must contact Charlotte Design.
2. Charlotte Design’s liability to the client or any other party for the loss including theft, or destruction or damage to any materials provided by the client which are deposited with Charlotte
Design for whatever reason.
3. Will be limited to the replacement cost of the actual material and;
4. Charlotte Design will not be liable for the cost of re-shooting or reprinting the material contained on the material and;
5. Charlotte design will not be liable for any loss or damage to the client or any other party including loss of income and;
6. It is the clients’ responsibility to insure against such loss and damage.
7. Charlotte Design and the client due to circumstances beyond Charlotte Design control including loss of power supply, machine breakdown, loss of materials, fire, storm, flood, act of god, war,
civil disturbance or terrorism.

What will happen if it doesn’t work out? We do create design solution that exceeds your expectations or your logo brief, the design process is an evolutionary one, from the initial concept
that was refined into a complete and well polished solution. If after the initial concepts are presented, and they seemed unsuitable, for whatever reason, we will happily redraw from scratch
using the new feedbacks that you will be providing us as a basis for moving forward. However if this is a fixed fee package, we will not return to the initial concepts. If after the secondary
concepts are presented, the logo is still unworkable, and after the honest feedback between our client and our agency, the project process is deemed to be beyond salvation, we will still retain
the initial payment to cover the time invested in the creation of the logo concept design, this is the most time intensive period because of the thought that goes along the creation of the design
solution. The aim is for fair compromise between the two parties. If we are not in fixed package agreement, and we are on a rolling fee agreement, we will simply bill you for the hours we have
completed. Our main goal in this design process is to exceed our clients’ expectations, a design that will stand the rigors of time that our clients will be generally proud of.

Who will own the rights to the completed graphic design solution? Upon settlement of the agreed fee, we give and pass all the ownership rights to our clients, though we do have the right
to display our created logo designs for promotional purposes only. We do hope that’s alright with you.
Do you have any completed work samples of graphic designs that I can view? Yes, definitely, we have produced hundreds of graphic solutions for clients around the globe, design examples are
ready to be viewed here: graphic design portfolio. How will I be able to see my graphic design concepts? The file will be sent via e-mail, it will
be a PDF file, that can be viewed both on screen and print out. We are happy to provide our clients with electronic file format if specified, hard copy proofs via mail/courier are also available
but with additional cost.

presented, even if it takes a lot of revisions, until we satisfy our client, until the time that they are happy with the design solution, or the brief is met or deadline arrives. We then set up
for printing, get the design printed and then delivered.
What do you need to know to get this project started? From our clients’ responses from the questionnaires, we require our clients contact information so that we can have an open line for
communication so we can liaise throughout the project, and a company purchase order or an initial payment of 50% of the project value. We further require your enthusiasm, in the design projects
because as our clients, you are the one who will be supplying us with valuable inputs, inputs that are relevant to the project, intelligent and on-target solutions. We love our work and we are
passionate about it. And that frequently rubs off on our clients, equally, we get the best results that are enthused by the projects that they are undertaking, if our clients believe in it, we
will and we can make it happen. How do we get started? We begin with processing the project upon receipt of your full design brief, relevant texts and images if required, also
including the agreement on the turnaround time, fees and payment terms.
Can I buy my domain through you? We regret to inform you that we do not resell domain names. We suggest that our clients purchase their own domain names so as to avoid any legal ownership
issues, in the future.
Do you host sites? Yes, we do have a hosting server used to for the purpose of building, testing and hosting our client website. It’s located in a state of the art server facility having
100% uptime. Though we do not resell hosting, we do provide custom made packages based on our clients’ requirements.
Do you provide Search Engine Optimization? Additional SEO can be time consuming and is one of the costly undertakings in web design; we do recognize and understand the ins and outs of SEO
and how it is of help for web based marketing. When building the site initially we do include a good basic SEO friendly structure, but if a client would want to embark on an SEO campaign, we can

What if I have an existing website, can you just amend the existing website? Our company exists to be of service to you, so whatever we can do to help you achieve your goals we’ll gladly

we should do and we’ll lay our plan for that project.
What payment terms do you have? We have immediate payment terms (kindly see our payment terms and conditions). You can pay either through BACS or cheque. We can even work out something for

What is the build process? Upon approval of the designs then we will be building a master template from the approved design, once our client has approved the master template, sub templates
will also be built. A master template is a coded page from the approved jpeg file of the design and that will be used on most of the sections of the website. On the other hand, a sub template is
created when a specific part of the page needs a different layout. Next steps will be depending on the type of built the project requires. All of this will be discussed with the client as part of
project planning document that would be created before building takes place. With this document we would outline what is to be built by when.
What is the design process and do I receive? We have specific design processes to offer tailored web design solutions, based on your specifications, on your requirements. The design
process s the same for all clients. Upon agreement on cost and initial documentation, we will be producing a minimum of two initial concepts, this would be supplied in jpeg format, and you would

Do we have to meet? As part of our aim of having all information needed that would satisfy our clients, it is always beneficial for both parties to meet. We aim to have face to face
contact with our web clients; this can help us establish a smooth relationship built on trust, as this gets the best result for both parties. This is so when you understand how each other work
and then you would understand the work to be done. , but if needs be, we can work remotely.
What kind of costs should I expect? Each project is different from each other, which are why costs vary depending on the project we undertake, as every project has different requirements.
We would like to be very transparent with our pricing with every project, so that our client is able to see just where their budget is being utilized and why.
How long will the project take to be finished? As we’ve said, every project is unique; every project is different, with different specifications and different requirements. As a rule of
thumb, if our project will be a small brochure site, that would be done in a week’s time or so, on the other hand, if the project will be requiring a large e-commerce site with the inclusion of a
content management system or CMS, blogs, forums etc., then the project will take a much longer process, thus taking much more time, as the required functionality of the site is involved, we will
be working on that for a month or so, depending on how complex the project is, depending on the complexity of the build. At the end of the day, the quicker you can give us feedback about your
requirements and specifications, the more information we get, the more feedback we get at the soonest possible time, the faster the process will be. In every project, we would be splitting those
into stages; we have Designm Alpha, Beta, Sign Off to name a few. Each of these stages would be clearly thought of and planned by us so everyone will know what they’ll be working on, when they
will receive the workload and by when.
What is the initial process to starting a web project? Every project is unique and are being handled the same way, it is through our tailored approach that delivers the most appropriate
and necessary solutions. First our client would have to complete a questionnaire, the answer s to the questionnaire will be our guide, it will be giving us an overview for the project, it will
help our clients to think in a clearer way about the complete project, the aims and the requirements. Once we receive the answered questionnaires, the agency will call you, our client to discuss
in person your project in more detail, or we can arrange for a meeting. For the first meeting, we would like it to be done face to face, a more personal approach, as there is no substitute or
replacement for the initial meeting. Well, we can have a much better feeling about the person we are to be working for, the person we are to be working with as well as we can discuss the project
more in depth, besides at the end of the day, we are most likely to work closely together. From there, we would be creating a site map and functionality map; we would be working with the client
